Terms of Service

The Service does not replace the terms, conditions, rules, policies, eligibility requirements, reward structures, redemption rules, expiration rules, or other requirements of any Brand Loyalty Program (“Brand Program Terms”).

Your ability to earn, claim, receive, redeem, retain, or use any loyalty points, rewards, credits, benefits, offers, or other incentives is determined solely by the applicable Brand and the applicable Brand Program Terms. Yotpo does not control and is not responsible for any Brand Program Terms, Brand Loyalty Program, reward eligibility decision, point valuation, reward redemption, reward expiration, rejected claim, delayed claim, missing claim, or other Brand decision.

Brands and retailers may be separate entities. Purchases from a retailer, marketplace, or other third-party merchant may or may not qualify under the applicable Brand Loyalty Program, and any eligibility determination remains subject to the applicable Brand Program Terms and the applicable Brand’s discretion.

If there is any conflict between these Terms and the Brand Program Terms, these Terms will govern your use of the Service, and the Brand Program Terms will govern the applicable Brand Loyalty Program, including whether any purchase qualifies for points, rewards, or other benefits.

To use certain features of the Service, you may be required to create an account, and/or install or enable an extension, or authorize Yotpo to access a supported email account or other account.

You represent and warrant that:

1. all information you provide to Yotpo is accurate, current, and complete;
2. you are the lawful owner or authorized user of any account you connect to the Service;
3. you have the right to authorize Yotpo to access and process data from such account as described in these Terms and in Yotpo’s Privacy Policy; and
4. you will keep your account credentials secure and promptly notify Yotpo of any unauthorized access to or use of your account or the Service.

For purposes of these Terms, “User Data” means any data, content, information, materials, or records that you provide to Yotpo or authorize Yotpo to access, collect, receive, extract, scan, process, analyze, transmit, store, or otherwise use in connection with the Service. User Data may include, without limitation, account registration information, email metadata, sender information, subject lines, message content, receipt information, order numbers, merchant names, retailer names, product names, product identifiers, purchase dates, purchase amounts, shipping information, return information, claim information, loyalty account identifiers, and communications with Yotpo or a Brand.

You grant Yotpo a worldwide, non-exclusive, transferable, sublicensable, royalty-free license to access, collect, receive, extract, scan, process, analyze, copy, store, transmit, disclose, create derivative works from, and otherwise use User Data for the following purposes:

1. to operate, provide, maintain, support, troubleshoot, secure, and improve the Service;
2. to share User Data, Purchase Data, and claim-related information with the applicable Brand, retailer, marketplace, service provider, integration provider, or other third party as reasonably necessary to provide the Service or support a Brand Loyalty Program;
3. to detect, prevent, investigate, or address fraud, abuse, security incidents, unlawful activity, or violations of these Terms;
4. to comply with applicable law, legal process, regulatory obligations, or governmental requests;
5. to operate, analyze, improve, develop, update, and support Yotpo’s products and services;
6. for any other lawful purpose.

Yotpo’s collection, use, disclosure, and other processing of personal data in connection with the Service is described in Yotpo’s Privacy Policy, as updated from time to time (currently available at yotpo.com/privacy-policy).

You must not intentionally provide, upload, submit, connect, or authorize Yotpo to process information that is not reasonably necessary for the Service, including protected health information, government identification numbers, full payment card numbers, CVV codes, bank account credentials, financial account passwords, account passwords or login credentials for third-party services except through secure authorization flows, biometric information, information concerning children under the age of 16, or other sensitive personal data not necessary for the provision of the Service.

Yotpo has no obligation to review User Data for restricted or sensitive information and will not be liable for your submission or authorization of such information in violation of these Terms.

Subject to your compliance with these Terms, Yotpo grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service solely for your personal, non-commercial use and solely in accordance with these Terms.

Yotpo and its licensors retain all right, title, and interest in and to the Service, including all software, extensions, websites, applications, APIs, interfaces, workflows, documentation, designs, technology, know-how, algorithms, models, analytics, dashboards, trademarks, service marks, logos, and other Yotpo materials (“Yotpo Materials”). No rights are granted except as expressly set forth in these Terms.

If you provide feedback, suggestions, comments, ideas, or recommendations regarding the Service, Yotpo may use them without restriction or obligation.

You must not, and must not assist or permit any third party to:

1. use the Service for any unlawful, fraudulent, misleading, harmful, abusive, or unauthorized purpose;
2. use the Service for any commercial purpose or on behalf of any third party;
3. connect an email account or other account that you do not own or are not authorized to use;
4. submit or attempt to submit false, misleading, duplicate, manipulated, or fraudulent loyalty claims;
5. claim points or rewards for purchases that are not yours or that are not eligible under the applicable Brand Program Terms;
6. interfere with, disrupt, overload, attack, or impair the Service;
7. use bots, scrapers, crawlers, data-mining tools, automated scripts, or similar technologies to access, copy, extract, or monitor the Service;
8. reverse engineer, decompile, disassemble, modify, translate, or create derivative works of the Service or any Yotpo Materials;
9. bypass, disable, or interfere with security, authentication, rate-limiting, access-control, or usage-limitation features;
10. use the Service to transmit malware, harmful code, or unlawful content;
11. remove or modify any proprietary notices;
12. use the Service in a manner that violates applicable law, third-party platform terms, email provider terms, Brand Program Terms, or these Terms; or
13. use the Service in any jurisdiction where such use would be unlawful or would subject Yotpo to any registration or licensing requirement.

The Service may interoperate with, access, link to, or rely on third-party platforms, email providers, browsers, browser stores, app stores, retailers, marketplaces, payment providers, loyalty systems, Brand systems, shipping providers, analytics providers, and other third-party services (“Third-Party Platforms”).

Yotpo does not control and is not responsible for Third-Party Platforms, including their security, availability, functionality, interoperability, policies, content, data practices, or terms. Your use of Third-Party Platforms is governed by your agreements with the applicable third parties.

Yotpo is not responsible for any products or services you purchase from any Brand, retailer, marketplace, or merchant, including pricing, product availability, shipping, returns, refunds, cancellations, product quality, customer service, taxes, order fulfillment, product descriptions, or payment processing.

To the extent the Service uses Google APIs, browser-extension APIs, email-provider APIs, or other third-party account APIs, Yotpo’s use and transfer of information received from such APIs may be subject to the applicable platform policies, including any applicable limited-use requirements.

Yotpo may suspend, limit, modify, or terminate the Service or your access to all or part of the Service at any time, with or without notice, in our sole discretion.

You represent, warrant, and covenant that:

1. you are at least 18 years old or the age of majority in your jurisdiction;
2. you have the legal capacity to enter into these Terms;
3. you will use the Service only for your own personal, non-commercial purposes;
4. you will comply with these Terms, applicable law, Brand Program Terms, and any applicable Third-Party Platform terms;
5. you have all rights, consents, permissions, and authorizations necessary for Yotpo to access, collect, receive, process, use, disclose, and share User Data as described in these Terms; and
6. User Data and your use of the Service will not violate any law, third-party rights, contract, or platform policy.

You will defend, indemnify, and hold harmless Yotpo and its affiliates, officers, directors, employees, agents, licensors, subcontractors, service providers, and suppliers from and against any claims, liabilities, damages, losses, costs, expenses, and fees, including reasonable attorneys’ fees, arising out of or relating to:

1. your access to or use of the Service;
2. your User Data;
3. your breach of these Terms;
4. your violation of applicable law, Brand Program Terms, or Third-Party Platform terms;
5. any false, misleading, unauthorized, or fraudulent loyalty claim; or
6. your infringement or misappropriation of any third-party rights.

Yotpo may assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with Yotpo in asserting any available defenses. You may not settle any claim without Yotpo’s prior written consent.
